ARTICLE I - GENERAL ISSUES
A. Unless specifically stated otherwise, business may be conducted via secured electronic methods or paper ballot. The President shall be responsible for ensuring security of all electronic methods used for voting on amendments to Constitution, to Code of Ethics, and to Bylaws
.
B. Definition of terms used: The following underlined words and phrases shall be italicized in the Bylaws and defined as follows:
1. Ex Officio - Ex officio member is defined as a working member of a committee, including the right to vote. When an ex officio member ceases to hold office, that person's membership on the committee terminates.
2. Executive Board shall be the Officers of NFCFA, including the Regional Directors, and shall constitute the Executive Board and the Executive Board shall have general supervision of NFCFA.
3. Grace period shall be the 30 day period each fiscal year after May 1 extending to May 31 the final date documents must be received, not postmarked, by the Treasurer
4. Gratis membership
1. Emeritus Breeder Members of Distinction
Emeritus Breeders of Distinction was established in 1992 as featured in the 1992 Skogkatt: "The Executive Board of the Norwegian Forest Cat Fanciers' Association does hereby recognize the notable contributions of Sheila Gira and Susan Shaw to the establishment of the Norwegian Forest Cat breed and is pleased to announce that, in appreciation for their devoted efforts, Sheila Gira and Susan Shaw are designated henceforth as Emeritus Breeder Members of Distinction in NFCFA for life, with remission of annual dues." (gratis)
2. Honorary members who shall be designated as having remission of annual dues without voting rights (gratis).
5. Levels 1, 2 and 3 of membership
1. Level 1 members - Cattery Owners in good standing who have full voting rights on all NFCFA matters
2. Level 2 members - Provisional Catteries, International Catteries and Fanciers in good standing who have restricted voting rights on NFCFA matters
3. Level 3 members - Persons given honorary membership gratis without voting rights.
6. "major recognized cat registry" is defined as a cat registry which performs all of the following:
a) Registers cats for showing and breeding purposes, and
b) Stores pedigrees of cats, prefixes, or affixes of catteries, and
c) Provides a Norwegian Forest Cat breed description, and
d) Publishes a standard for the Norwegian Forest Cat for the
purpose of awarding points, and
e) Publishes a list of judges qualified by that registry to
judge at affiliated shows, and
f) Conducts registry-sponsored cat shows several times per
year.
7. majority shall be interpreted as follows:
1. The term "majority vote" represents the majority, more than 50%, of votes which are actually cast by the members with the authority to vote as specified in the Bylaws.
2. The term "majority of total" voting represents the majority, more than 50%, of total membership eligible to vote as specified in the Bylaws.
8. Show season shall be defined as beginning May 1 and finishing April 30. These same dates shall also be referred to as fiscal year and membership year.
ARTICLE II - Membership Categories
There shall be five (5) categories of membership within NFCFA as follows:
Section A. Cattery Owner
(heretofore called Breeder Member)
1. Definition
- A Cattery Owner shall be defined as one who actively breeds Norwegian Forest
Cats and meets the requirements set forth in Section A,. 2 of this Article.
2. Requirements - A Cattery Owner shall fulfill all of the
following requirements:
a) Own a cattery registered with at least one major
recognized cat registry.
b) Own a registered Norwegian Forest Cat capable of
reproduction.
c) Register a minimum of one litter per three contiguous
show seasons with one of the major recognized cat registries and
submit proof of litter registration to the appropriate officer by May 1st of
the current fiscal year (plus grace period) or voting rights
shall be forfeited. Submission of proof may be accomplished by mail or by
completion of the form available on the NFCFA website.
d) Payment of annual dues to the appropriate officer by May
1st of the current fiscal year (plus grace period). Failure to
pay annual dues in full within the designated timeframe shall result in a
forfeiture of voting rights for the current fiscal year.
e) Submit a current and signed Code of Ethics to the
appropriate officer by May 1st of the current fiscal year (plus
grace period). Failure to submit the signed Code of Ethics each year
within the designated timeframe shall result in a forfeiture of voting rights
for the current fiscal year. Submission can be done by mail or online.
3. Exemptions - Emeritus Breeder Members of Distinction
shall be included within the category of Cattery Owner and shall be exempt
from the requirements set forth in Section A. 2. b) c) and d) above.
Emeritus Breeder Members of Distinction shall abide by Section A. 2. a)
and e) above to retain Cattery Owner Level 1 voting rights.
4. Rights - A Cattery Owner in good standing as required in
all parts of Article II, Section A., 2. shall retain Level 1 voting
rights in NFCFA.
While there may be more than one
owner of the cattery, only one designated individual, annually by fiscal
year, shall be assigned to represent the cattery.
Section B. Provisional Cattery
(heretofore called Provisional Member)
1.
Definition - A
Provisional Cattery shall be defined as the entry level membership, similar to
an apprenticeship, to becoming a Cattery Owner in NFCFA.
2. Eligibility Requirements - A Provisional Cattery shall
fulfill all of the following requirements in order to qualify for Provisional
Cattery membership:
a) Own a cattery registered with at least one of the major
recognized cat registries.
b) Own a registered female Norwegian Forest Cat capable of
reproduction.
c) Payment of annual dues to the Treasurer by May 1st of the
current fiscal year (plus grace period). Failure to pay annual
dues in full within the designated timeframe shall result in a forfeiture of
voting rights for the current fiscal year. Dues for Provisional Catteries
shall be that of Cattery Owner upon submission of application.
d) Submit a current and signed Code of Ethics to the
appropriate officer by May 1st of the current fiscal year (plus
grace period). Failure to submit the signed Code of Ethics each year
within the designated timeframe shall result in a forfeiture of voting rights
for that fiscal year. Submission may be accomplished by mail or by
completion of the form available on the NFCFA website.
3. Application Process for Provisional Cattery Membership - Applicants shall submit an application for Provisional Cattery membership after fulfilling all the requirements set forth in Section B 2 above. Any dues differentials shall accompany this application. This application shall be available at the NFCFA website and shall be sent to the Treasurer or as indicated at the website.
4. Progression to Cattery Owner membership - In order to progress to a Cattery Owner membership, a Provisional Cattery must accomplish all of the following:
a) Submit proof of litter registration form, available
at NFCFA website, proving a minimum of one litter registered in a major
recognized cat registry with Provisional Cattery name as prefix. Six
months after birth of such registered litter, and upon approval and
recommendation of the Chairman of the Outreach Mentoring Program,. an
applicant may qualify for Executive Board approval and Level 1
membership vote on acceptance into the category of Cattery Owner.
b) Complete requirements set forth by the Chairman
of Outreach Mentoring Program within twenty-four (24) months from receipt
of acceptance into the program. Any extensions of time by applicant may be
considered by Chairman of Outreach Mentoring Program, submitted to the
Executive Board with majority votes ruling.
c) Be well-versed with "A Winn Feline Foundation
Health Article on Feline Vaccine Guidelines", specifically for catteries as
opposed to owners. Be well-versed with various breeding and birthing
practices as deemed necessary by the Chairman of Outreach Mentoring Program
and mentor(s) assigned to them throughout the provisional status.
d) Satisfy the Chairman of Outreach Mentoring
Program that all requirements have been met. At that time the Chairman
shall submit applicant's approval request for advancement to Cattery Owner
by the Executive Board. Upon acceptance by Executive Board, by majority
vote, the request shall be submitted to Cattery Owners for their vote to
approve as a Cattery Owner member with majority votes ruling.
Advancement approvals and voting shall take place bi-annually in March and
September and those individuals advanced to the category of Cattery Owner
shall be published in the next Skogkatt issue and immediately announced on
NFCFA-sponsored email lists.
4. Rights - A Provisional Cattery in good standing as required in all parts of Section B, 2 and 3, shall retain Level 2 voting rights in the Norwegian Forest Cat Fanciers' Association. Provisional Catteries shall state clearly in advertising that they are a "Norwegian Forest Cat Fanciers' Association Provisional Cattery"
Section C. Fancier
1. Definition
- A Fancier shall be defined as one who shows, owns or who
has an interest in the Norwegian Forest Cat.
2. Requirements - A Fancier shall have dues paid in full to
the appropriate officer by May 1st of the current fiscal year (plus
grace period) and accept the Code of Ethics annually or voting
rights shall be forfeited. Failure to pay annual dues in full within the
designated timeframe shall result in a forfeiture of voting rights for the
current fiscal year.
3. Rights - A Fancier shall retain Level 2 voting
rights in the Norwegian Forest Cat Fanciers' Association.
Section D. International Cattery
1. Definition
- An International Cattery shall be defined as a cattery located outside of
the designated regional areas of NFCFA.
2. Requirements - An International Cattery shall have dues
paid in full to the appropriate officer by May 1st of the current fiscal
year (plus grace period) and accept the Code of Ethics annually or
voting rights shall be forfeited. Failure to pay annual dues in full within
the designated timeframe shall result in forfeiture of voting rights for the
current fiscal year.
3. Rights - An International Cattery shall retain Level 2
voting rights in NFCFA.

Section E. Honorary
1.
Definition
- An Honorary
member shall be defined as one who has provided a major contribution to the
health and welfare of the Norwegian Forest Cat and shall be granted gratis
membership.
2. Requirements
- Nominations may be made by any two concurring members of NFCFA in good
standing. The Executive Board will review the request and
submit to members with Level 1 and Level 2 voting rights with majority vote
ruling.
3. Rights - An Honorary member shall retain no voting rights in the Norwegian Forest Cat Fanciers' Association.
Section A:. Duties of the Executive Board shall be to manage the affairs of NFCFA within the structure of NFCFA Constitution and Bylaws. The Officers and the Regional Directors shall comprise the Executive Board.
Section B: Requirements and Limitations:
1. Shall be Level 1 members.
3. No one shall hold more than one elected office in NFCFA simultaneously.
4. Shall remain available to newly-elected Executive Board members for assistance with protocol in doing their duties from the time of election result announcement until June 15 (45 days after new Executive Board takes office).
5. No Executive Board members shall be simultaneously Webmaster or Skogkatt editor.
6. All Level 1 or Level 2 members in good standing shall be eligible for Chairman or a member of any committee the President creates, with the exception of Executive Board members who shall not serve as:
a) Chairman of Ethics Committee
b) Chairman of amendment committees to Constitution or to Bylaws, or to Code of Ethics.
7. Shall have the responsibility of participating in discussions and voting matters while serving on the Executive Board. The Executive Board has been elected to represent the members of NFCFA as outlined by the responsibilities and duties listed below. Any Executive Board member who does not actively and consistently participate in their responsibilities as described above, shall forfeit their position. Each position and duty is a commitment and shall be treated as such. Failure to perform their duties without excuse may result in being referred to the Ethics Committee for that failure.
a) Shall be chief executive officer of the association and ex offico member of all committees. The designation ex officio member may be delegated to other members of the Executive Board to any special or ad hoc committee created by the President
b) Shall have the authority to appoint any committee or special representative or coordinator deemed necessary.
c) Shall have sole discretion to appoint a Level I member to vacancies on the Executive Board for the unexpired term.
d) Shall appoint with majority of total membership of Executive Board approval required:
1) Editor for the Skogkatt.
2) Webmaster from inside or outside NFCFA.
e) Shall appoint other committees or ad hoc groups as deemed necessary with majority Executive Board approval required.
f) Shall have a Standing Committee called Ethics Committee. Shall appoint an Ethics Committee Chairman. The Chairman and President shall appoint two more Level 1members jointly. Two alternate members shall additionally be appointed (for reasons stated in g) below).
g) A joint agreement between Chairman and President shall have the right to change committee membership without consent of the Executive Board should it be deemed necessary by both Chairman and President. The two alternates appointed by the above method may be used for this purpose if necessary.
h) Shall refer to the Ethics Committee those Executive Board members who fail to participate fully in Executive Board decisions and shall have the authority to replace this member if necessary.
i) Shall have signatures rights, along with the Treasurer, on any financial institution which NFCFA is authorized by Executive Board to use.
a) Shall perform all duties of the President in the event of absence or incapacity of President.
b) Shall assume office of President if it becomes vacant and have the authority to appoint a new Vice President from Level 1 members.
c) Shall maintain copies of Constitution, Code of Ethics and By-Laws and provide the latest updated versions of said documents to any voting member upon request.
d) Shall be responsible for maintaining list of Level 1 and a list of Level 2 members who can and cannot vote, when Code of Ethics become due, when litter registrations become due. This list shall be maintained monthly and posted to the NFCFA website by Webmaster or representative in the following suggested format:

3.
Treasurer
a) Shall receive all monies of NFCFA and be
responsible for deposits into a bank designated by majority of total of
Executive Board.
b)
Shall share with the
President the signature rights to any financial institution which is selected
for NFCFA.
c) Shall disburse all Executive Board
approved expenses. .
d) Shall itemize all receipts and expenses
and report quarterly to all Level 1 and Level 2 members.
e) Shall maintain a
list of members, catteries, addresses, email addresses and phone numbers and
any updates sent in on this list. (First
"keeper" of vote count)
f) Shall expeditiously remit updated member
list and litter registrations to the Secretary, along with dates of
application of any Provisional Catteries if
applicable.
g) Shall remit a list of applications for
Provisional Catteries to the Outreach Mentoring Program Chairman.
h) Shall maintain record of receipt of annual
Code of Ethics submitted to confirm membership and shall ensure that the
Secretary has this same list.
4. Secretary
a) Shall maintain separate lists of members in Level 1 and Level 2 as a voting list, along with email addresses for voting and cattery address. This list shall be sent to Vice President for Vice President's website preparation for Webmaster. (Second "keeper" of vote count)
b) Shall announce annually no later than June 15 lists of voting members in Level 1 and Level 2.
c) Shall maintain date of application of Provisional Catteries to use in determining 2 year limitation of time for Provisional Catteries.
d) Shall announce all membership final vote count totals and results as soon as they are known by the Secretary.
d) Shall be responsible for creating online votes which the voting membership has determined is necessary and announcing to the voting membership the location of that poll and date upon which that poll will be closed. It is recommended that these polls be kept on file for four years and available to any request of the Executive Board for review.
5. Outreach Mentoring Program Chairman
A position responsible for the education of Norwegian Forest Cat Provisional Cattery breeders and this chairman recommends to the Executive Board advancement of Provisional Catteries to Cattery Owner. There will be a pool of volunteer mentors to work with this chairman.
a) Shall organize an Executive Board approved Outreach Mentoring Program for new breeders.
b) Shall maintain a list of willing Level 1
mentors, and seek Executive Board approval of that list.
c) Shall maintain an Executive Board approved
syllabus for a consistent mentoring program among a pool of willing Level 1
mentors.
d) Shall report to the Executive Board when a
Provisional Cattery Owner has met all requirements and can be advanced
to become a Cattery Owner.
e) Shall respond to requests from the public
for information concerning NFCFA mentoring program and shall refer
Provisional Cattery applicants to the correct application procedure.
Section D: Regional Directors
1. Shall act as liaison between Executive Board and the members of the regional area each represents.
2. Shall participate fully in Executive Board decisions.
4. Facilitate meeting the informational needs of any Provisional Catteries within their region and be available to assist the Outreach Mentor Program Chairman as needed.
ARTICLE IV - Voting Levels
Section A: All voting rights are subject to limitations by the Ethics Committee as described in Article XI of these Bylaws.
Section B: Level 1 members shall have the right to vote on elections, dues, advancement of Provisional to Cattery Owners, Constitutional Amendments, changes in Code of Ethics, changes in By-Laws within NFCFA and all other matters brought before the membership.
Section C: Level 2 members shall be eligible to vote on NFCFA matters but shall be restricted from voting on elections, dues, Constitutional Amendments, changes in Code of Ethics and in Bylaws. They may vote on:
2. Allocation of funds from fund raising
3. Subjects related to NFC oriented shows (Anniversary or others)
4. Proposals related to NFC rescue projects by NFCFA
5. Proposals NOT having to do with elections, dues, approval of Cattery Owner, Provisional Cattery advancement, changes in Constitution, By-Laws, Code of Ethics.
Section E: Level 3 - no voting privileges to Honorary members
ARTICLE V - Memberships in Good Standing
Section A: Memberships shall be subject to limitations by the Ethics Committee.
Section B: Dues shall be sent to Treasurer along with relevant applications, proof of registration, change of address/email.
Section C: A current cattery name and the name of current registry shall be on record or submitted concurrent with dues to Treasurer. Each cattery shall be identified by one person’s name, address and email address for NFCFA records.
Section D: For all memberships, the membership process begins upon application, paid dues and the notification of acceptance by Secretary of Norwegian Forest Cat Fanciers’ Association.
Section E: For Provisional Cattery status, the exact date of Provisional Cattery membership shall be retroactive to that on the application upon notification by Secretary of acceptance and Provisional status shall be completed within two years from that date, unless granted extension by Executive Board for unusual health reasons..
Section F: For Cattery Owners, proof of litter registrations shall be submitted every three years as a minimum.
Section G: All Level 1 and Level 2 members shall submit agreement with Code of Ethics annually.
Section H: Membership rights shall include access to Skogkatt publication, participation in non-private membership communications, voting on association activities as permitted by the Bylaws.
ARTICLE VI - Election of Executive Board
Section A: Election of the Executive Board
shall take place every three years.
Section B: Candidates
shall meet all the requirements of Article III, Section B.
Section C: Executive Board members wishing
to serve shall notify the Secretary by March 1. Secretary will announce
candidates no later than March 15. No person shall run for more than one
elected office at the same time.
Section D: Elections shall be held no later than April 1. All
votes must be received no later than April 15. Newly elected officers will
take office May 1.

Section E:
Write-in candidates are permitted with consent of candidate.
Section F: Majority of Level I members shall be required
for election of a candidate with the exception of Regional Directors who shall
require a majority vote of Level 1 members within their designated
regional area.
Section G: Transfer of all records and inventory shall take
place from outgoing Executive Board members to any newly elected Executive
Board members within 15 days of newly elected members of Executive Board
taking office.
ARTICLE VII - Regional Areas
A. Regional Directors shall be elected from the following areas:

ARTICLE VIII - Procedures for Change by Members
Section A: Proposals may be submitted by any Level 1 or Level 2 member to the President for consideration by the Executive Board for an action or project for NFCFA. The proposal shall be in writing.
Section B: For any proposal submitted, a timely response of receipt in writing to the person submitting it shall be acknowledged by the President. The President has the power to assign this duty of notification to person(s) submitting proposal(s) to another Executive Board member . All such acknowledgements shall be in writing.
Section C: All proposals and dates of acknowledgement shall be posted both in the Skogkatt and the NFCFA list.
Section D: The President shall seek a majority vote of the Executive Board to recommend or not recommend the proposal . The Executive Board shall have the discretion to require a Level 1 member to be involved in any proposed fund-raising projects. The Executive Board shall have the discretion to negotiate details of proposals which may require a chairman or committee to monitor a proposal.
Section E: Upon Executive Board recommendation, the written proposal shall then be submitted to Level 1 and Level 2 membership by poll by the Secretary for "accept" or "reject". Majority of votes shall determine acceptance or rejection.
ARTICLE IX - Amendments to Bylaws or Code of Ethics
The President shall be responsible to ensure any business conducted is secure and is verifiable in regards to counted votes if electronic methods are used.
Section A: Proposed amendments to the Bylaws or Code of Ethics may be submitted in writing by any Level 1 member to the President for consideration by the Executive Board.
Section B: For any proposal submitted, a timely response of receipt to the person submitting it shall be acknowledged by the President. The President has the power to assign this duty of notification to persons submitting proposal(s) to another Executive Board member.
Section C: The President shall seek a majority vote of the Executive Board to recommend or not recommend the amendment to the Level 1 membership.
Section D:: Upon Executive Board recommendation, the written amendment shall then sbe submitted to Level 1 membership by poll by the Secretary for "accept" or "reject". Majority of votes shall determine acceptance or rejection.
ARTICLE X - Standing Committee on Ethics
Confidentiality Requirement: A Complainant filing ethical charges against a NFCFA member with the Ethics Committee shall keep all charges strictly confidential. This requirement of strict confidentially shall extend to the nature of the charges, and shall include all supporting facts, allegations, and the identity of member that is the subject of the complaint, Disclosure contrary to this confidentially requirement to anyone other than the Ethics Committee Chairman prior to final resolution by the Executive Board shall result in dismissal of the complaint. A complainant may withdraw the complaint at any time before final resolution upon notice to the Chairman of the Ethics Committee. The same rules of confidentiality shall apply to all members of the Ethics Committee.
Section A: Ethics Committee
1. The President, with majority vote approval of the Executive Board, shall appoint a Level 1 or Level 2 member as Ethics Committee Chairman .
2. The Ethics Committee shall consist of four members, including the appointed Chairman and either the President or the President’s designated representative as an ex officio member. Each of the four members shall be nominated by the Chairman and President and shall be approved by Executive Board majority vote. Upon approval, the Ethics Committee members shall be announced to the membership and the membership of the committee members shall be posted on the NFCFA website.
3. Any Ethics Committee or Executive Board member who is a complainant, defendant or cannot render an impartial decision due to the circumstances of the complaint shall notify the Chairman in writing and shall be replaced by an alternate member selected by mutual agreement between the Chairman and the President alone. The Executive Board shall not be required to be notified of these temporary circumstances due to privacy concerns
Section B: Substance of a Complaint
All formal complaints shall be filed in writing in good faith and not for the purpose of harassment, embarrassment, or personal animosity. Proper grounds for a complaint shall be:
1. Violation of NFCFA Code of Ethics.
2. Known suspension from a major cat registry.
3. Legal action against owner for neglect or abuse of animals.
4. Non-participation by Executive Board Members in Executive Board affairs.
Section C: Filing, Notice and Reply
1. All complaints shall be filed in writing with the Ethics Committee Chairman . Complaints shall be specific in detail . All factual evidence to support the complaint shall be filed with the written complaint in order to be considered by the Ethics Committtee.
2. Chairman shall immediately notify complainant of receipt of complaint and the defendant shall be notified of the nature of the complaint including the factual allegations and accompanying evidence.
3. The defendant shall be allowed ten (10) days to submit and present, in writing or in person or by witness, their defense and evidence to support that defense. Upon written request of the defendant, the Chairman shall have the discretion to grant an additional twenty-one (21) day extension to the ten day timeframe.
4. Chairman shall initiate review with Ethics Committee upon receipt of all supporting evidence from both parties. In order to assure objectivity, all names,, cattery names, and other identifying information shall be redacted from all documents by the Chairman prior to review by the other Ethics Committee members. .
5.. The Ethics Chairman shall determine the method of communication to ensure privacy, dependent upon the subject matter of the complaint or defense and all supporting evidence.
Section D: Procedure for Review
1. Each case will be assigned a number by Chairman and parties identified by letters. The Chairman ONLY shall have the key to identities of the parties involved.
2. Once both sides have submitted their information in writing or in person if necessary each Ethics committee member shall be provided a copy of the redacted submissions from all parties.
3. Committee members shall keep all information confidential.
4. Within ten (10) ten days of receipt of all information from both sides, the Committee shall decide by majority vote of the entire committee if they need additional information from the parties or whether they are sufficiently informed to take action. If additional investigational information from the parties is deemed necessary, the request will be channeled through the Chairman to either or both parties with a time limit on the request. Failure on the part of the parties to meet that time limit shall be deemed forfeiture of further evidence for the committee to consider.
5. Once all information is collected, the Ethics Committee, as a whole and in writing of their rationale in separate opinions, shall determine if any course of action should be considered or if the evidence for action is not warranted..
6. All courses of actions records shall be maintained by the Ethics Chairman, final decisions announced only to the committee. These records are to be passed on from Ethics Chairman to Ethics Chairman only.
7. Due consideration shall be given to successive infractions if they have occurred in the past.
8. If the Ethics Committee determines a course of action is necessary, they shall decide on one of the following disciplinary actions, not necessarily in any prescribed succession:
a) Written Warning(s), not made public to NFCFA members
b) Suspension of membership in good standing for a limited time
c) Second Written Warning(s), made public to NFCFA members on the website.
d) Expulsion from NFCFA
5. Tie votes shall constitute dismissal of charges.
Section E: Review by Executive Board
1. The Executive Board shall receive the written recommendations of the Ethics Committee and a general outline of the records presented. The Executive Board shall either accept the factual determinations of the Ethics Committee or ask them to investigate further and reevaluate if the factual determinations seem unsupported.. If the factual investigation seems as complete as it can become through the evidence presented, the Executive Board shall approve, by majority vote, of the Ethics Committee's recommendation or not approve.
2. Executive Board has the authority to send the case back to Ethics Committee to re-evaluate if further factual determinations are gathered from either complainant or defendant within a reasonable time. However, the Executive Board does not have the authority to decide on a different disciplinary action.
3. The Chairman shall notify the complainant and the defending party of the final decision.
